Bylaws of Fiskars Village Association
The name of the association is Fiskars-Kyläseura r.y. – Fiskars-Byförening r.f. The association is domiciled in Raseborg.
The purpose of the association is to promote cooperation among the village residents, strengthen the vitality of the village, and act as a guardian of the residents’ general and common interests. The association also seeks to promote community wellbeing as well as hobby and cultural activities.
To achieve its purpose, the association participates in planning concerning the village and seeks to influence decision-making within various organizations. The association submits initiatives and proposals, issues statements to authorities and other organizations, engages in information activities, and participates in the planning and implementation of village development activities. The association organizes meetings as well as hobby, recreational, and cultural events.
To support its activities, the association has the right to receive grants, donations, and bequests; own and manage movable property; conduct publishing activities; and, after obtaining the necessary permits, organize lotteries, bazaars, and sales events.
A regular member of the association may be any person interested in matters concerning Fiskars, regardless of place of residence, who commits to following the association’s bylaws.
Legally competent entrepreneurs, associations, and companies that approve of the association’s purpose and bylaws may be accepted as corporate members.
Upon proposal by the board and decision of the association meeting, a person who has significantly promoted the association’s activities may be invited to become an honorary chairperson or honorary member. The title of honorary chairperson or honorary member is lifelong, and such persons are exempt from membership fees.
A member has the right to resign from the association by notifying the board or its chairperson in writing or by announcing their resignation at an association meeting for inclusion in the minutes.
The board may expel a member from the association if the member has failed to pay due membership fees, otherwise failed to fulfill obligations connected to membership, significantly harmed the association through conduct within or outside the association, or no longer fulfills the legal or statutory requirements for membership.
The association’s board consists of a chairperson elected by the annual meeting for a one-year term and at least four (4) and at most ten (10) members elected for two-year terms. The principle of staggered resignation is applied so that at least three (3) board members are due to resign each year. If fewer members are due to resign according to term lengths, the order shall be determined by lot.
Board members’ terms begin when the board meeting following the election ends and terminate when the board meeting following the next annual meeting ends. The board elects a vice chairperson from among its members and appoints a secretary, treasurer, and other necessary officers either from within or outside the board.
The board constitutes a quorum when more than half of its members, including the chairperson or vice chairperson, are present.
The opinion supported by more than half of the votes shall constitute the board’s decision. In the event of a tie, the chairperson’s vote decides, except in elections where the result is determined by lot.
Only the board has the right to issue public statements concerning the association’s activities. A member may represent the association publicly only with the board’s consent.

By decision of the annual meeting, the association may establish separate committees operating under the board. The association meeting appoints the chairs of the committees upon proposal from the respective committees.
The association’s name may be signed by the chairperson of the board alone or by the vice chairperson together with the secretary or treasurer.
The association’s financial year is the calendar year. The association shall have one operational auditor and one deputy operational auditor elected by the annual meeting.
The financial statements, together with the necessary documents and the annual report, shall be submitted to the operational auditor no later than one month before the annual meeting. The operational auditor shall provide a written statement to the board no later than two weeks before the annual meeting.
Association meetings are convened by the board. Notice of a meeting must be sent no earlier than four (4) weeks and no later than one week before the meeting by written notice to each member at the address listed in the membership register or at the email address provided by the member, or by publication in a newspaper circulated in the association’s domicile.
The association shall hold one ordinary meeting annually before the end of March. An extraordinary meeting shall be held when the board considers it necessary or when at least one-tenth (1/10) of the association’s voting members request it in writing for a specified matter. The meeting must be convened within two weeks of such a request.
Each member, as well as honorary chairpersons and honorary members, has one vote at association meetings.
If a member wishes to have a matter addressed at an association meeting, the matter must be submitted to the board in writing at least 21 days before the meeting so it can be included in the meeting notice.
A decision to amend the bylaws must be made at an association meeting by at least a three-quarters (3/4) majority of the votes cast.
A decision to dissolve the association must likewise be made at an association meeting by at least a three-quarters (3/4) majority of the votes cast. The meeting notice must mention the proposed amendment of the bylaws or dissolution of the association.
Upon dissolution, the association’s assets shall be used to promote the association’s purpose in the manner determined by the meeting deciding on the dissolution. If the association is dissolved, its assets shall likewise be used for the same purpose.
